Basic Agreement in the field of eyewear business aiming to promote the Japanese distinctive brand and optical technologies worldwide

HOYA Corporation (“HOYA”) and Seiko Epson Corporation (“Epson”) today came to a basic agreement to begin discussions on transfer of Epson’s eyeglass lens development and manufacturing business to HOYA.

Also today, HOYA and Seiko Holdings Corporation (“Seiko”) concluded a basic agreement to begin discussions about transfer of partial ownership of Seiko Optical Products Co., Ltd., a wholly owned subsidiary of Seiko, to HOYA and about forming a global strategic alliance in marketing and distribution to promote eyewear products.

The parties, HOYA, Epson and Seiko will proceed further discussion to enter into legally-binding definitive agreements at the earliest opportunity.
